Terms of Service & Engagement
Commercial, contractual, and technical conditions governing the execution of custom software, landing pages, enterprise e-commerce, and autonomous AI agents at LUWICK.
Closed Technical Scope & Change Orders
Each project is initiated under a formal Statement of Work (SOW) defining closed functional requirements. Any module, architectural change, or additional feature requested outside the signed baseline will be scoped and quoted as an independent addendum or sprint, with its own delivery milestones and pricing.
Payment Milestones & Engineering Allocation
To secure dedicated engineering allocation, cloud environments, and lead developer bandwidth, projects operate under the following standard schedule:
- 50% Initial Deposit: Required to commence technical architecture, UX prototyping, and staging setup.
- 50% Final Balance: Due upon customer acceptance testing within the private staging environment, prior to live production deployment and master credentials handover.
Intellectual Property & Source Code Transfer
100% full ownership of source code repositories, database schemas, and master cloud credentials is unconditionally transferred to the client upon receipt of the final contract payment. LUWICK does not retain proprietary software lock-in or recurring licensing royalties.
Unless explicitly prohibited under an executed Non-Disclosure Agreement (NDA), LUWICK reserves the standard commercial right to showcase the completed platform in its corporate portfolio as a case study.
Staging Acceptance & Formal Project Closure
Acceptance testing is conducted within a secure staging environment. Once the client validates that agreed-upon specifications are fulfilled and live credentials are exchanged, the initial development contract is formally completed and closed.
Ongoing feature evolution, infrastructure upgrades, and SLA technical monitoring post-launch are covered under our monthly maintenance and engineering retainers.
Third-Party Platforms & Limitation of Liability
The client remains the sole owner and payer for external operational infrastructure: cloud hosting accounts (AWS, Vercel, Google Cloud), custom domains, AI model APIs (OpenAI, Anthropic), payment gateway accounts (Stripe, PayPal), and official WhatsApp Business API endpoints.
LUWICK disclaims liability for external service outages, third-party pricing adjustments, account suspensions, or upstream policy changes enacted by external vendors beyond our direct control.
Confidentiality & Trade Secret Protection
Both parties agree to treat all business information, architectural models, customer databases, and proprietary workflows as strictly confidential indefinitely following project completion.
